Until recently, the Company also actively operated in Canada through Trichome Financial Corp and its wholly owned subsidiaries, where it cultivated, processed, packaged, and sold premium and ultra-premium cannabis at its own facilities under the WAGNERS and Highland Grow brands for the adult-use market in Canada. Mr. Adler currently serves as the Chief Executive Officer and previously as Chief Financial Officer of SciSparc Ltd., a pharmaceutical company specializing in cannabinoid-based therapeutics. He has also held senior finance roles at Medigus Ltd., where he advised on initial public offering readiness and public filings, and began his career at Ernst & Young Israel, managing audits of public companies listed on TASE and North American markets. Throughout his career, Mr. Adler has led global strategic initiatives, capital raises, investor relations, and cross-border M&A activities.

Mr. Adler is a Certified Public Accountant (CPA) and holds a B.A. in Business Management and Accounting from the College of Management in Rishon LeZion.

One of Israel’s prominent experts in the field of medical cannabis, Oren brings more than two decades of proven entrepreneurial experience in founding and growing companies in the med-tech and technology/software industries.

Prior to IMC, Oren co-founded E-wave with a vision to create an international tech company that provides software solutions for enterprises in digital, IT, HR, and medical technologies. His vision was realized fully and today, E-wave is a global software house that employs 1,000 professionals with operations in the U.S., Canada, Brazil, India, and Israel.

In addition to a tremendously successful entrepreneurial track-record, Oren has held executive positions at companies within the telecom and digital media industries.

Moti Marcus is the current CEO of Packer Quality Materials, one of the largest companies in Israel for the sale and processing of special and unique metals. Mr. Marcus has a strong track record in CFO roles, management, and mergers and acquisitions. He has sat on the boards of several institutions and is a member of the Israel Ministry of Finance “Team of Select Directors.” He holds an MBA from Bar Ilan University and a B.A. in accounting and economics from Bar Ilan and Tel Aviv Universities.

Mr. Yitzhaik is a seasoned businessman with over three decades of experience in retail and real estate. He is the owner of ASI Glasses, a long-established optics and optometry business in Israel, and has extensive real estate holdings in Israel and abroad. Mr. Yitzhaik also serves as a director of several publicly traded companies, including Gix Internet Ltd., Rani Zim Shopping Centers Ltd., Save Foods, Inc., Plentify Ltd., Polyrizon Ltd., and Clearmind Medicine Inc.

Einat Zakariya is the current CEO and partner in LIV collection, a brand subsidiary of Ewave Holdings Ltd. (“Ewave“), and CEO and Partner of Ewave Nadlan International Investments Ltd. Ms. Zakariya has proven expertise in the real-estate industry. She brings vast experience in CEO roles as well as strategic consulting, marketing, advertising, and sales. She previously sat on the boards of several major organizations. She studied marketing at the University of Washington, in Seattle, US.

Mr. Zamir brings extensive expertise in finance, capital markets, and public company governance. He has served as CEO of an underwriting firm, CFO of a public real estate company, and raised significant institutional capital for private equity funds and public offerings. Mr. Zamir has also held directorships at leading companies including Formula Systems, Synopsys Israel, AI Conversation Systems, and NewMed Energy. He currently serves as the CEO of Jeff’s Brands Ltd. and continues to advise and lead M&A and financing activities in the renewable energy sector in Europe.

 

Medical marijuana company IM Cannabis Corp. has signed a nonbinding agreement to acquire a controlling stake in a Polish company involved in distributing and potentially manufacturing tactical unmanned aircraft systems.

IM Cannabis announced Wednesday that it signed a letter of intent to acquire 51% of Space Defense Innovations LLC (SDI), a Polish company operating in the unmanned aerial systems sector through its wholly owned subsidiary BlueAero Group.

SDI is currently a reseller of tactical aircraft systems produced by BlueBird Aero Systems and, subject to receiving necessary regulatory licenses, is expected to become a European manufacturer of the company’s systems with exclusive rights in Poland.

The products include vertical takeoff and landing aircraft used for intelligence, surveillance and reconnaissance, hybrid fixed-wing systems, three-dimensional mapping technology and loitering munitions.

The proposed transaction represents another move by IM Cannabis outside its traditional marijuana business. The company currently operates a medical marijuana platform serving patients in Israel and Germany, although it has a pending transaction to sell its German operations and expects to retain its Israeli medical marijuana business.

Under the letter of intent, IM Cannabis would acquire 51% of SDI through a combination of common shares and/or pre-funded warrants, along with a 24-month seller loan carrying 9% annual interest.

IM Cannabis would also receive a five-year option to acquire the remaining 49% of SDI at the same valuation and would gain the right to appoint a majority of the company’s board.

As part of the proposed transaction, IM Cannabis would provide SDI with a line of credit of up to €2.3 million, or approximately $2.7 million, at closing. The credit line would have a 36-month maturity and could be converted into SDI shares at IM Cannabis’ discretion, subject to valuation requirements.

The companies said they expect to negotiate definitive agreements within 60 days. The agreement remains subject to due diligence, regulatory and corporate approvals, the assignment of certain commercial agreements and other closing conditions. IM Cannabis cautioned that there is no guarantee a definitive agreement will be reached or that the acquisition will be completed.

The move follows another proposed expansion into defense technology announced by IM Cannabis earlier this year. In March, the company signed a separate nonbinding agreement to acquire 51% of Polish technology company Blackaxe Technologies, which specializes in counter-drone systems, satellite intelligence, imagery and artificial intelligence analytics.

IM Cannabis trades on the Nasdaq Capital Market under the ticker IMCC.
